These Terms and Conditions (“Terms”) govern your access to this website and your enrolment in the The Proximity offered by Ritvik Vipin (“we”, “us”, the “Mentor”). By using this website, submitting an application or making a payment, you agree to be bound by these Terms. This document is an electronic record under the Information Technology Act, 2000 and the rules thereunder, and does not require any physical or digital signature.

Nature of the service

The Proximity is an educational program on market microstructure, price action, order flow, volume profile and trading process. It is delivered in batches through live online sessions, recordings, written material and a moderated community. It is a knowledge service only. It is not investment advice, portfolio management, research analysis, tips, signals, or any assurance of profit.

Regulatory position

Ritvik Vipin is not registered with the Securities and Exchange Board of India (SEBI) as an Investment Adviser under the SEBI (Investment Advisers) Regulations, 2013 or as a Research Analyst under the SEBI (Research Analysts) Regulations, 2014, and is not a stock broker, sub-broker, portfolio manager or distributor of securities. No content, session or interaction should be construed as a personalised recommendation to buy, sell or hold any security, derivative, commodity or currency.

Eligibility

You must be at least 18 years of age and competent to contract under the Indian Contract Act, 1872. By enrolling, you confirm that the information provided in your application is true and accurate, that you are trading with your own capital and at your own risk, and that you are not relying on us for any financial, tax or legal advice.

Enrolment and admission

  • Applications are reviewed and admission is at our sole discretion; we may decline any application without assigning a reason.
  • A seat is confirmed only upon receipt of the full fee (or the agreed instalment) and written confirmation from us.
  • Batch dates, timings, session count and the syllabus sequence may be revised for operational reasons; equivalent content and duration will be maintained.
  • Access is personal, non-transferable and granted to a single named individual only.

Fees, taxes and payment

Fees are stated in Indian Rupees and are exclusive of applicable Goods and Services Tax unless expressly stated otherwise. GST is charged at the prevailing statutory rate and an invoice will be issued. Payments are collected through third-party payment gateways; bank charges, currency conversion costs or international transaction fees are borne by you. Non-payment of an agreed instalment by its due date may result in suspension of access.

Refund and cancellation policy

  • A full refund, less payment gateway charges, is available if a written cancellation request is received before the batch commencement date.
  • Once the batch has commenced, or once recordings, workbooks or community access have been made available, fees are non-refundable, as the content is digital and cannot be returned.
  • If we cancel a batch entirely and do not offer a replacement batch acceptable to you, the full amount paid will be refunded.
  • Approved refunds are processed to the original payment method within 7-10 working days of approval.
  • No refund is payable where access is terminated for breach of these Terms, including content piracy or misconduct.

Intellectual property

All course material — slides, recordings, charts, frameworks, checklists, templates, written notes and the contents of this website — is the exclusive intellectual property of Ritvik Vipin and is protected under the Copyright Act, 1957. You are granted a limited, revocable, non-exclusive, non-transferable licence to use the material for your personal learning only. Recording, downloading, screen-capturing, reselling, redistributing, publishing, translating or using the material to build a competing program is strictly prohibited and may attract civil and criminal action, including under Sections 63 and 65 of the Copyright Act and the Information Technology Act, 2000.

Code of conduct

  • Maintain respectful conduct in all live sessions and community channels.
  • Do not share your login, invite links or material with any third party.
  • Do not solicit, advertise, run tip services, or offer paid signals within the community.
  • Do not misrepresent yourself as an authorised representative, partner or affiliate of The Proximity.

We may suspend or terminate access, without refund, for any breach of this code.

No guarantee of results

Trading involves substantial risk of loss. Any performance figures, examples, case studies or testimonials shared are illustrative of individual experience only and are not typical, not verified as advisory performance, and not a promise of similar outcomes. You accept sole responsibility for every trading and investment decision you make, and for the tax treatment of those decisions.

Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or in connection with The Proximity or this website shall not exceed the total fee actually paid by you for the program. We shall not be liable for any trading losses, loss of capital, loss of profit or opportunity, or any indirect, incidental, special, punitive or consequential damages, howsoever arising. Nothing in these Terms excludes liability that cannot be excluded under Indian law.

Indemnity

You agree to indemnify and hold harmless Ritvik Vipin and any associated personnel against any claim, loss, liability, cost or expense (including reasonable legal fees) arising from your breach of these Terms, your infringement of intellectual property rights, or your unlawful use of the material or community.

Force majeure

We are not liable for delay or failure in delivering sessions due to events beyond reasonable control, including internet or power failure, platform outages, exchange or regulatory action, illness, natural disasters, civil unrest or government restrictions. Affected sessions will be rescheduled or made available as recordings.

Third-party platforms

Sessions, payments and community access may rely on third-party platforms. Your use of those platforms is governed by their own terms, and we are not responsible for their availability, security or conduct.

Termination

We may suspend or terminate your access with immediate effect for breach of these Terms, non-payment, or conduct that harms other students or the reputation of the program. Clauses relating to intellectual property, limitation of liability, indemnity and governing law survive termination.

Amendments

We may amend these Terms at any time. The version published on this page at the time of your enrolment applies to that enrolment; continued use of the website after changes are posted constitutes acceptance of the revised Terms.

Governing law, jurisdiction and grievances

These Terms are governed by the laws of India. Subject to the dispute resolution below, the courts at the Mentor's place of business in India shall have exclusive jurisdiction. Any dispute shall first be attempted to be resolved amicably, and failing that, referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated in India, conducted in English. Grievances, including consumer complaints under the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020, may be addressed to: Ritvik Vipin, Grievance Officer — email: support@ritvikvipin.com. Complaints are acknowledged within 48 hours and ordinarily resolved within 30 days.
